Residential Real Estate
I recognize the special nature of handling residential real estate transactions.  Often the purchase or sale of a home is a significant event in a person’s life, not only financially, but also emotionally.  Knowing this, I take special care to communicate fully with clients, quickly answer any questions they may have concerning their transaction and do everything possible to ensure that the transaction concludes successfully.
The Law Office of Carl J. DiPiazza, LLC represents individuals and businesses in the acquisition and sale of residential real estate throughout the entire State of New Jersey, as well as clients who are refinancing residential properties.  When property is sold, I either review broker prepared contracts, or draft contracts if no broker is involved.  I counsel my clients throughout the home inspection and mortgage contingency periods and, once satisfied, prepare and review all documentation necessary to close the transaction.  My experience and excellent working relationships with major lenders, title insurance companies, realtors, surveyors and outside settlement attorneys help me to ensure that the purchase or sale of your home is settled in a smooth and efficient manner.
Commercial Real Estate

The firm represents individuals and business entities in the acquisition and sale of commercial property throughout New Jersey.  Initially, this requires the review or preparation of a comprehensive purchase agreement.  I then guide my clients through the due diligence period.  For the seller this means providing relevant and necessary information concerning the financial condition of the property, while the purchaser is responsible for conducting physical inspections of the property, including an environmental audit, to ensure compliance with all applicable federal and state environmental rules, laws and regulations. When representing a purchaser, I counsel the client throughout the mortgage contingency period and work closely with lending institutions to ensure that the necessary documents are executed at closing by all parties to the transaction.

Business Law
A number of my clients seek assistance in starting a new business.  Before selecting the right business form, I meet with the client to discuss their objectives and goals.  I assess their business plan and finances and work with their financial advisors and lenders to ensure that the new business is structured to achieve optimal success, whether it be a limited liability company, corporation or partnership.
I also provide advice to my business clients on legal issues that arise in the course of business, including  negotiation of a contract, lease or loan agreement.  Meeting with clients in their workplace allows me to gain a better understanding of their business and its challenges and provide the best possible support.
Few matters are more complex and are of greater importance to clients than the purchase or sale of a business.  I work closely with my clients and their financial advisors to help devise a structure for the transaction that achieves the most advantageous business, legal and tax results.  Whether the transaction takes the form of a stock purchase or sale, or an asset purchase or disposition, I assist my clients in the negotiation and preparation of all agreements needed to properly document the transaction and protect the client.  The necessary documents may include letters of intent, purchase and sale agreements, employment and non competition agreements, confidentiality agreements, security agreements and indemnification agreements.  Company records are updated to eliminate problems that can arise during the due diligence of the purchaser and assist the buying and selling client through the important due diligence process.
Wills and Estate Planning

For many of my clients I also provide will and estate planning services.  Before drafting a will, clients are provided with literature that explains the estate planning process and its costs.  They are asked to list their assets and liabilities on a pre‑printed information sheet and also to designate individuals or entities that will be named as either personal representative, guardian or trustee in the will.  With this information, together we can create an estate plan that preserves, protects and distributes property, while minimizing estate tax liability.  As a part of my estate planning practice, I prepare powers of attorney so that a client can delegate financial decision‑making authority, should the need arise.  I also prepare living wills and health care treatment powers of attorney for those clients who wish to delegate decision‑making authority to another for future health and medical treatment.

Workers' Compensation
I have many years of experience representing individuals who have been injured, either as a result of a traumatic or occupational injury, in the workplace.  All workers in New Jersey are covered by the New Jersey Workers’ Compensation Act, codified at N.J.S.A. 34:15‑7 et seq.  Except in special situations where an employer intentionally injures an employee, workers’ compensation is an exclusive remedy–this means that an injured worker may not bring a civil action against his employer.  Thus, the only remedy against the employer is through workers’ compensation.
In my practice I have been able to obtain optimum results for my clients, including necessary medical treatment and cash payments in the form of temporary and permanent disability benefits.
Municipal Court

I represent individuals in municipal courts throughout central and northern New Jersey charged with motor vehicle and disorderly persons offenses, ranging from simple assault, driving while intoxicated, speeding, reckless driving, careless driving and other moving violations.  I have served as both a municipal prosecutor and public defender.  This experience allows me to fairly assess charges brought against a client and then give advice as to whether to enter into a plea agreement with the State, or vigorously defend your interests at trial.
